Terms & Policy
Heedit works with local files by default. This page defines the boundaries for use, connected Agents, third-party services and privacy.
Use and license
These terms apply to the Heedit app, command-line tools, website and documentation. By downloading, installing, accessing or using Heedit, you agree to them; otherwise, stop using Heedit.
While you follow these terms, we grant you a limited, non-exclusive, non-transferable and non-sublicensable license. Software is licensed, not sold. Unless applicable law or an open-source license allows it, you may not resell or redistribute Heedit, bypass security controls, disrupt the service, reverse engineer it, or use it for unlawful, infringing or unauthorized data access.
- Open-source components remain subject to their own licenses.
- Rules of a third-party distribution channel also apply when you obtain Heedit through that channel.
Your files
You keep all rights to your documents, annotations and other content. Heedit does not gain ownership or a content license merely by opening, editing or saving a file on your device.
Heedit works directly with the original file and is not a cloud backup service. You are responsible for having the right to process the content, reviewing saves, conflicts and external changes, and keeping an independent backup of important files.
Agents and third-party services
Heedit may work with browsers, Agents, command-line tools, system previews, update services and other third-party software. Those parties control their own services, data practices and content; we are not responsible for them.
When you authorize an Agent or third-party tool to read, modify or generate files, it may process or transmit content outside Heedit. Heedit confirmations, MCP, hooks, annotations and provenance records are local collaboration paths, not operation or endorsement of the third party, and cannot undo actions already taken. Grant only necessary access and review every output before use. Do not rely only on Heedit or AI output for legal, medical, financial, safety-critical or other high-risk decisions.
Changes and termination
We may update, limit, suspend or stop any feature and do not promise permanent availability or compatibility with every device, system or third-party service. You may stop using Heedit at any time. We may limit or terminate the license if you materially breach these terms or if law or security requires it.
Disclaimer and liability
To the fullest extent permitted by law, Heedit is provided “as is” and “as available,” without warranties that it will be error-free, uninterrupted, completely secure, free from data loss, accurate, non-infringing or fit for a particular purpose. You assume the risks of installation, use, file changes, third-party connections and reliance on outputs.
To the fullest extent permitted by law, we are not liable for loss of profit, revenue, goodwill, opportunity, data, files or use, or for indirect, incidental, special, punitive or consequential loss. Nothing here excludes liability or consumer rights that cannot legally be excluded or limited.
Local data
Normal document processing happens on your Mac. Documents stay in place; recent-file state, AI Inbox provenance, annotations, preferences and necessary state are stored locally. We do not receive those items merely because you open or edit a file, and we do not sell them or use them to train AI.
You manage source documents in Finder. Removing Heedit metadata does not remove the source document, and uninstalling the app alone may not remove all local application data.
When Heedit may connect
- HTML and links: opening HTML, a link or other network-dependent content may give the relevant site or service your IP address and standard request information. Use offline viewing or disconnect from the network when no connection is wanted.
- Software updates: enabled versions may contact an update server, which may log the IP address, request time, software version and result.
- Agents and third-party tools: after you connect or authorize them, they may process data within the requested scope; their features, settings and policies govern further use.
- Website: heedit.ai currently uses no advertising cookies or cross-site tracking. Hosting and security services may still log IP address, access time, path, User-Agent and error information.
- Contact: when you contact us, we receive the email address, content and attachments you choose to provide.
Use, disclosure and retention
We process only information needed to provide and protect Heedit, respond to requests, diagnose faults, comply with law and protect legitimate rights. We do not sell personal information or share it for targeted advertising.
We disclose necessary information only with your authorization, to suppliers providing necessary services, when law requires it, or to protect legitimate rights. We keep it only for the shortest period needed for those purposes or legal obligations. You control local data; relevant third parties control their own data.
Security, choices and rights
We use reasonable safeguards but cannot guarantee absolute security of devices, transmission or storage. Protect your device, file permissions and backups, and authorize third-party tools carefully.
You may avoid remote content, Agents and direct contact, or stop using Heedit. Subject to applicable law, you may use the contact method published on our website to request access, correction, deletion or restriction of personal information we hold. Manage device-only data locally and contact the relevant third party for data it controls.
Children and updates
Heedit is not directed to children who cannot consent to these terms. If you believe a child provided information without required authorization, contact us through the method published on our website.
We may update this Terms & Policy and will identify the updated date. We will give notice of material changes when required by law. If you disagree with an update, stop using Heedit.
